Nexam Chemical: Nexam Chemical intends to execute a private placement of shares to Swedish and international institutional investors


Nexam Chemical Holding AB (publ) today announces that it intends to
execute a private placement of Nexam Chemical shares to a limited
number of Swedish and international institutional investors.

The price for the shares will be determined through a book-building
procedure initiated at 5.31pm CET on 10 March 2016. Pricing and
allocation of the private placement is expected to take place before
NASDAQ OMX First North opens at 9:00am CET on 11 March 2016. The
total number of shares to be offered in the private placement will be
determined in the book-building process. The proceeds from the
private placement are intended to finance the continued expansion of
the company.

The private placement is conditional upon that the Board of Directors
of Nexam Chemical, following close of the book-building process,
resolves to issue new Nexam Chemical shares pursuant to the
authorization given by the annual general meeting held on 12 May

Danske Bank is acting as sole lead manager and bookrunner of the
private placement. Ashurst is legal adviser to Danske Bank and
Setterwalls is legal adviser to Nexam Chemical.
